ARTICLE III

 

FORMATION OF ASSOCIATION

 

 

3.0l Requirement for Formation. At such time as the Declarant may desire, but in no event beyond that date upon which one hundred percent (100%) of the lots have been sold to persons other than the Declarant, an association of lot owners to be known as Conifer Ridge Homeowners Association, Inc. shall be formed and appropriate Articles of Incorporation filed.

 

3.02 Declarant Responsibilities Prior to Incorporation of the Association.

Until the Homeowners Association is incorporated pursuant hereto, the Declarant shall be responsible for all charges related to common areas as submitted pursuant to this Declaration. For the purposes of ownership of the common area, such ownership shall be held in the name of the Declarant until formation of the Association. The Declarant shall hold all membership rights in the Association until its formation. Until such time as the Association is formed, the Declarant shall act as the Architectural Control Committee as defined hereunder.

 

 

ARTICLE IV

 

MEMBERSHIP AND VOTING RIGHTS

 

4.01 Membership: Board of Directors. At its initial meeting, the Association shall elect a Board of Directors which will be composed of three members. One member shall be elected to serve for a one-year term, one to serve for a two-year term and one to serve for a three-year term. At each election thereafter, a member elected to fill the position of a member whose term has expired shall be elected for a three-year term. If any member of the Board of Directors is unable or unwilling to act, the remaining members shall appoint a successor to serve out the unexpired term. No member of the Board of Directors, however created or constituted, shall receive any compensation or make any charge for his services.

 

4.02 Membership: Association. Every owner of a lot which is subject to assessment shall be a member of the Association. Membership shall be appurtenant to, and may not be separated from, ownership of any Lot which is subject to assessment.

 

4.03 Voting Rights: Association. The Association shall have two classes of voting membership:
